Formerly CADP Group Corporation (CAC), Roxas and Company, Inc. (RCI) is one of the largest sugar corporations in the country. It was established as Central Azucarera de la Carlota in October 7, 1918 to become one of the biggest sugar mills in the Far East during the 1970s. A change in ownership structure in 1995 paved the way for the rehabilitation, improvement, and expansion of RCI. In 2004, the company was reorganized and transformed into a full-fledged sugar holding and investment corporation. RCI's principal products consist of raw sugar and molasses using two sugar mills that are each owned and operated by the company's subsidiaries, Central Azucarera Don Pedro, Inc. In October 2008, the Boards of CAC and its parent company, Roxas Holdings, Inc. (ROX) approved ROX' acquisition of the net assets of CAC amounting to P115,796,466 as well as the purchase of all operating companies of CAC namely, CADPI, CACI, CADP Farm Services, Inc., Jade Orient Management Services, Inc., CADP Consultancy Services, Inc., RCI's 45% equity investment in Hawaiian Philippine Co., and RCI's 67% equity in Najalin Agri-Ventures, Inc., at the price of P3,837,972,401. ROX will also assume the liabilities of CAC in the amount of P378,815,615. The Board also approved the merger of CAC with Roxas & Co., Inc. (RCI), with CAC as the surviving corporation, at the share swap ratio of 11.71 CAC shares for one RCI share or for a total price of P3,927,339,439. On June 23, 2009, the Securities and Exchange Commission approved the change in the company's corporate name to its present name.
